Terms of Service

1. Agreement and electronic acceptance

These Terms of Service ("Terms") are a binding agreement between you and ZENCRA LABS PRIVATE LIMITED ("Zencra Labs", "we", "us"), a company incorporated in India, under the Companies Act, 2013, with CIN U62020MH2026PTC472372 and registered office at B-104, Shankar Dham, Vakola, Santacruz East, Mumbai 400055, Maharashtra, India.

You accept these Terms by an electronic record. Creating an account, clicking to agree, purchasing a plan or credits, using credits, generating outputs, or continuing to use the platform each constitutes your acceptance and forms a valid contract under applicable law, including the Information Technology Act, 2000 and the Indian Contract Act, 1872. If you do not agree, do not use the platform.

Zencra Labs may expand its legal and operational presence to other jurisdictions, including the United States and the United Arab Emirates, in the future. Until any such entity is formally registered and announced, the operator of the platform remains ZENCRA LABS PRIVATE LIMITED, registered in India.

2. Eligibility and accounts

You must be at least 18 years old and capable of entering into a binding contract to use the platform. The platform is not directed to minors. Any future education or school product will have separate, supervised terms.

You are responsible for your account, your credentials, and all activity under your account. You must provide accurate information and keep it current. We may refuse, suspend, or terminate accounts at our discretion, including for the abuses described in these Terms.

3. The service

Zencra Labs is a credit-based AI software-as-a-service platform offering tools for image, video, and audio generation, AI influencer creation, lip sync, captions, Future Cinema Studio, a public gallery and showcase, and related creator features, available through subscription plans, credits, and team or workspace billing with a shared credit pool. Features, models, and pricing may change over time.

4. Credits and billing

Credits are limited units that let you use platform features. They are not money, carry no independent cash value, are non-transferable except where the platform expressly permits, and may expire as stated at purchase or in the Refund and Cancellation Policy. Subscription plan credits apply to the relevant billing cycle and do not carry over unless stated.

Charges, taxes, renewal terms, and credit allocations are shown before purchase. Payments are processed by third-party payment processors. Billing, cancellation, and refunds are governed by our Refund and Cancellation Policy.

5. Third-party providers

The platform depends on third-party AI, payment, and cloud providers. Their availability, output quality, and processing times are outside our control and are not guaranteed. Your use of provider-dependent features may also be subject to those providers' terms.

6. Your responsibilities

You must use the platform lawfully, provide only prompts and inputs you are entitled to use, hold all rights and consents needed for any person, content, or material you submit, and comply with our Acceptable Use Policy, AI Content Policy, User Generated Content Policy, and Community Guidelines, which form part of these Terms.

You must not misuse a real person's face, voice, likeness, or identity without consent, or create or distribute unlawful, deceptive, or harmful content.

7. Intellectual property and brand protection

The platform, its software, design, user interface, layout, page structure, studio concepts, logos, and the names Zencra Labs, Zencra Image Studio, Zencra Video Studio, Zencra Audio Studio, Future Cinema Studio, MoviePilotZ, LipSyncZ, CaptionZ, Creative Director, AI Influencer Builder, with all related branding, are owned by or licensed to Zencra Labs and are protected by law. We grant you a limited, revocable, non-transferable right to use the platform for its intended purpose only.

You must not copy or imitate our website interface, branding, names, logos, product labels, page structure, or studio concepts; build fake Zencra websites, unofficial clones, or confusingly similar domains; use Zencra branding in competing products; or claim to be official, affiliated, endorsed, open-source, or partnered with us without written permission. Misleading claims such as an unofficial "open Zencra" are prohibited. You must not scrape, reverse engineer, or attempt to extract our source code or models.

8. AI outputs

AI outputs are generated automatically and may be inaccurate, incomplete, or similar to existing works or real people. They are not advice and are not guaranteed fit for any purpose. You are responsible for reviewing outputs before relying on, publishing, or distributing them. We do not guarantee that any model or provider will produce a requested result.

9. Suspension and termination

We may suspend or terminate your access at any time for breach of these Terms or our policies, for suspected abuse or fraud, or to protect the platform, other users, or third parties. You may stop using the platform at any time. Provisions on intellectual property, AI outputs, liability, and indemnity survive termination.

10. Disclaimers and limitation of liability

The platform and all outputs are provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law. To the maximum extent permitted by applicable law, Zencra Labs and its directors, officers, and employees are not liable for indirect, incidental, special, or consequential damages, or for lost profits, data, or goodwill, and our total liability for any claim relating to the platform will not exceed the amount you paid to us in the three months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where applicable Indian law does not permit such exclusion or limitation, including your mandatory rights as a consumer.

11. Indemnity

You will indemnify and hold Zencra Labs harmless from claims, losses, and expenses arising out of your content, your use of the platform, or your breach of these Terms or of any third-party rights.

12. Governing law and disputes

These Terms are governed by the laws of India. The courts at Mumbai, Maharashtra, India have jurisdiction over disputes relating to these Terms, without prejudice to mandatory consumer protection and forum rights available to you under applicable law.
