Business and Enterprise Terms

The additional terms that apply when an organisation uses Zencra Labs, including workspaces, seats, and administration.

1. About these terms

These Business and Enterprise Terms apply in addition to our Terms of Service when Zencra Labs is used by an organisation rather than by an individual consumer. They apply where you subscribe to a Business plan, where you create or own a workspace, and where you join a workspace as a member. They are offered by ZENCRA LABS PRIVATE LIMITED.

In these terms, Customer means the organisation or individual that owns the Business subscription, Workspace means the shared space created under that subscription, and Member means a person who has been given access to that workspace. Where these terms conflict with the Terms of Service, these terms apply to business use.

Separate enterprise arrangements, including any negotiated commercial terms, are available only where we agree them with you in writing. Unless we have signed such an agreement with you, these terms and our Terms of Service are the full agreement for your business use.

2. Workspaces, seats, and members

Team access is available on the Business plan. Plans intended for a single user are for one person only, and adding additional users to a plan that does not support team access is a breach of these terms.

A workspace has an owner. The owner controls the subscription, can invite and remove members, and is responsible for how the workspace is used. Invitations are sent to a named recipient and are personal to that recipient.

Seats are not anonymous shared logins. Each member must have their own account and must not share credentials with anyone else.

3. Customer administration and responsibility

The Customer is responsible for its members, for the content they upload and generate, and for their compliance with our Terms of Service, Acceptable Use Policy at /acceptable-use, AI Content Policy at /ai-content-policy, User Generated Content Policy at /ugc-policy, and Community Guidelines at /community-guidelines.

The Customer is responsible for ensuring it has the rights and permissions needed for any content, likeness, voice, brand, or other material that its members upload or use, and for any consent required from the people concerned.

The Customer must remove a member's access promptly when that person should no longer have it. We act on the workspace controls the Customer uses; we do not monitor whether a member is still authorised by the Customer.

4. Plans, credits, and billing

Business subscriptions, credits, add-ons, taxes, cancellation, and refunds are governed by our Terms of Service and our Refund and Cancellation Policy at /refund-policy, including the rules there on credit expiry and on credits that have already been consumed.

Where shared workspace credits are enabled for a workspace, a generation by a member draws on the credit balance held by the subscription, rather than on that member's own balance. Where shared workspace credits are not enabled, each member's generations draw on the balance held by their own account. The product shows which balance applies at the time of a generation.

In either case the Customer is responsible for how its members use the platform and for the credits consumed under its subscription.

Prices may be shown in more than one currency. The currency, amount, and payment method presented at checkout govern the transaction. Payments are processed by third-party payment providers as described in our Refund and Cancellation Policy and our list of service providers at /subprocessors.

5. Account identity and control

The email address on an account is that account's identity. Once an account has completed a payment, that email address is permanent and cannot be changed, including by support. Please use an email address that the organisation will continue to control before making any purchase.

We do not transfer ownership of a workspace or an account on request outside the controls available in the product. Where an owner leaves the organisation, the Customer should plan for that in advance, because we cannot reassign an account identity after payment.

6. Customer content and outputs

Ownership of uploaded content and of generated outputs is governed by our Terms of Service, our User Generated Content Policy at /ugc-policy, and our Copyright and Intellectual Property Policy at /copyright-ip-policy. Outputs are produced using third-party AI providers, and the rights you receive in an output are subject to the terms of the provider that produced it.

We do not guarantee that an output is unique, that it is free of third-party rights, or that it may be used for any particular commercial purpose. The Customer is responsible for its own clearance, review, and disclosure of AI generated material before publication.

7. Data protection

Our Privacy Policy at /privacy describes how we handle personal data. Where we process personal data on behalf of a Customer in connection with a Business subscription, the standard form Data Processing Addendum we offer for that processing is published at /dpa and can be entered into on request; it covers the use of service providers listed at /subprocessors.

The Customer is responsible for having a lawful basis for any personal data it or its members put into the platform, and for providing any notice or obtaining any consent that applies to the people concerned.

8. Confidentiality

Each party may receive non-public information from the other in connection with business use. Each party will use that information only for the purpose of the engagement and will protect it using at least reasonable care. This does not apply to information that is public through no fault of the receiving party, was already known to it, is independently developed by it, or must be disclosed by law.

9. Support and availability

Support for business use is provided through the contact channels on this page and in the product. We do not commit to a response time, a resolution time, an uptime percentage, a service credit, or a dedicated contact, and no service level agreement applies unless we have signed one with you. The acknowledgement timeline for billing and refund requests set out in our Refund and Cancellation Policy at /refund-policy is not affected by this section.

Features described as beta, preview, or coming soon are additionally subject to our Beta and Preview Terms at /beta-terms and carry no availability commitment.

10. Suspension and termination

We may suspend or limit a workspace, a member, or an account where we reasonably believe there is a breach of these terms or our policies, a security or abuse risk, a payment failure, or a legal requirement. Where it is reasonable and lawful to do so, we will tell the Customer.

Either party may end the engagement in accordance with the cancellation rules in our Refund and Cancellation Policy at /refund-policy. Account and data deletion is described at /data-deletion.

11. Liability

The limitations and exclusions of liability in our Terms of Service apply to business use. Nothing in these terms excludes or limits liability where applicable Indian law does not permit such exclusion or limitation.

12. General and governing law

These terms form part of our Terms of Service at /terms. We may update them, and the version in force is the one published on this page on the date shown above.

These terms are governed by the laws of India. The courts at Mumbai, Maharashtra, India have jurisdiction over disputes relating to them, without prejudice to mandatory rights available to you under applicable law.

This document is effective from the Last updated date shown above and may be updated from time to time. When we make changes we will revise that date and, where appropriate, notify you through the platform or by email. Continued use of Zencra Labs after an update means you accept the revised version.
